This Agreement is between you, the user of the Services, and Ser Flex, the provider of the Services. You are deemed to agree to comply with and be bound by these Terms of Service at the time you first use the Services. If you do not agree to be bound by these Terms of Service, you must stop using the Services immediately.

1. 1. Definitions and interpretation
1.1 In this Agreement, the following terms have the meanings indicated below:
1.2 "Content" means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored on a computer that appears or is part of these services;
1.3 "Service" refers collectively to any Flex classes, services or information that Ser Flex makes available now or in the future;
1.4 "User" / "Users" means any third party accessing the services who is not an employee of Ser Flex and who is acting in the course of their employment.

2. 2. Intellectual Property
2.1 All Content included in the Services, unless provided by Users, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations , page layout, underlying code and software, is the property of Ser Flex, our affiliates or other relevant third parties. By continuing to use the Services, you acknowledge that such material is protected by international intellectual property and other relevant laws.
2.2 You may not reproduce, copy, distribute, store or otherwise reuse material on the Services, unless otherwise indicated on the Services or unless Ser Flex grants you express written permission to do so.

3. Privacy
3.1 For the purposes of applicable data protection legislation, Ser Flex will process the personal data that you have provided to us in accordance with its Privacy Policy, available on the Ser Flex website or upon request to Ser Flex .
3.2 You agree that, if you have provided Ser Flex with personal data relating to a third party, a) you have all the appropriate consents and notices necessary to allow the legal transfer of such personal data to Ser Flex and b) you have informed said third party of the privacy notice available on the Ser Flex services or has provided you with a copy of it.
3.3 You agree to indemnify Ser Flex in relation to any and all liabilities, penalties, fines, compensation or costs arising from your failure to comply with these requirements.
3.4 You accept and allow Ser Flex to use videos, photos and comments captured from classes or shared by clients for the use of social networks/website.

4. Disclaimers
4.1 Ser Flex does not guarantee that the services meet your requirements, that they are of satisfactory quality, that they are suitable for a particular purpose, that they do not infringe the rights of third parties. We do not guarantee any specific results from using our Service.
4.2 No part of these services is intended to constitute advice and the Content of these services should not be relied upon when making decisions or taking actions of any kind.
4.3 By booking any of our Services you confirm that you have read and accept the Ser Flex Disclaimer.

5. Availability of services
5.1 The Service is provided "as is" and "as available". We do not guarantee that the Service will be free of defects and/or failures.
5.2 To the maximum extent permitted by law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.
5.3 Ser Flex does not accept any responsibility for any interruption or unavailability of services arising from external causes, including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power outages, natural phenomena , acts of war or legal restrictions and censorship.

6. Conclusion of contract
6.1 Contracts between Ser Flex and participants are concluded by offer and acceptance. Ser Flex offers a registration mechanism for its Offers. The registration form provided must be filled out completely and truthfully.
6.2 Ser Flex reserves the right to reject a registration. Ser Flex may send interested parties a quote indicating the price and description of the services. The contract is concluded after acceptance of this offer.
6.3 Legally relevant declarations, consents and agreements must be made in text form, i.e. an e-mail or similar is sufficient.
6.4 The contract ends upon expiry of the agreed contractual period without the need for termination.

7. No guarantee of success
Nothing in this Agreement shall be construed as a warranty by either Party that
7.1 The Service will produce any Result or be successful,
7.2 The Service will produce a specific result or be otherwise successful or
7.3 The result of the Service will be usable in any way.

8. Fees and Payment
8.1 The purchase price of the Service will be paid simultaneously with the execution of the Agreements and in line with the Order accepted by the Client or as stipulated in Ser Flex for Tammy's services or as expressly agreed in writing between the Parties, as appropriate.
8.2 The Customer must provide a signed copy of its Contract (which may be executed and delivered electronically), together with payment of the purchase price by electronic transfer or bank transfer to an account designated by Ser Flex, or by any combination of such methods, as appropriate and expressly agreed in writing by Ser Flex.
8.3 All prices for the Services are calculated according to the area. The service is quoted in euros, Argentine pesos and Swiss francs (CHF) and will be charged to the Client according to their geographical location. Otherwise, the corresponding conversion will be carried out.
8.4 The Client is responsible for any tax applied to the Services, except where legislation requires Ser Flex to collect the tax.
8.5 Resale of the Services to third parties is not permitted.
8.6 We reserve the right to modify prices and schedules at any time.
8.7 Season tickets are personal and non-transferable.

9. Rescheduling, delays and no-shows
9.1 Ser Flex will attempt to accommodate requests to reschedule the date of a booked Service, but cannot guarantee that such requests will be accommodated, and acceptance of such request is at the sole discretion of Ser Flex. Any out-of-pocket costs associated with rescheduling will be the responsibility of the Participant.
9.2 If a booked Service must be rescheduled a) due to a Force Majeure Event; or b) the Service provides unavailability; then Ser Flex agrees to reschedule a booked Service on the most convenient date and time for both parties. Without prejudice to the foregoing, Ser Flex has full discretion to determine whether to reschedule a booked Service or refund the Client in accordance with Clause 10.
9.3 If a rescheduling request is received less than 24 hours before a booked Service, or if the Client does not show up within 10 minutes of the start of a booked Service, the client forfeits the class/payment must be made.
9.4 Holidays, no classes will be taught.
9.5 Vacations or prolonged absences: the only way to maintain the place is with its payment. No places are reserved without the corresponding payment. The month is not divided by vacations or absences.
9.6 In the event of vacation or absence of Ser Flex, it will be informed in advance/reflected in the month's agenda. The space remains closed during the 2 weeks of the holidays: Christmas and New Year (the dates will be informed on the page at the beginning of the respective years). 

 

10. Refunds
Refund requests are not accepted.
If Ser Flex determines otherwise or is unable to provide the service as agreed, it will refund to the same payment method used by the Client or will contact the Client to coordinate the refund.

 

11. Duty of confidentiality
Ser Flex undertakes to keep secret all business and commercial secrets of the participants or other private and intimate circumstances that become known during the course of the Service and also after its completion.

 

 

12. Accompanying material and copyright
If Ser Flex publishes or otherwise makes available accompanying material, it may not be reproduced or transmitted to third parties, even in part, without the consent of Ser Flex. Ser Flex will make the attached documents available exclusively to participants.

 

13. Use of the Service
Being Flex provides a service, that is, the participants are trained, advised, guided, etc. Being Flex does not promise concrete success. Ser Flex provides its services based on the data and information provided by the Participants. The guarantee of its accuracy and integrity corresponds to the Participants. Participation is at the Participants' own risk.

 

14. Place of performance
Unless the parties agree otherwise, the Services will be performed online/in person in the case of in-person workshops.

 

15. Indemnity
15.1 The Client hereby agrees to assume liability and agrees to indemnify, protect, save and hold harmless Ser Flex from and against any and all liabilities, obligations, losses, damages, penalties, claims, actions, demands and related costs. judgments, expenses and disbursements, including reasonable legal fees and expenses, of every kind and nature, excluding Taxes, taxes, claimed or incurred by any Indemnified Party, in any way, resulting or arising from this Agreement.
15.2 The Customer hereby indemnifies and holds Ser Flex harmless from and against any and all losses and expenses which may be incurred, asserted or awarded to Ser Flex, in each case arising out of or in connection with with any Service provided by Ser Flex any defense with respect thereto arising out of or in connection with this Agreement, the other Operating Documents or the transactions contemplated hereby or by it, or any use made or proposed, whether such Service whether or not provided to Customer or any of them, or any other Person, or an Indemnified Party is otherwise part thereof and whether or not the transactions contemplated herein are consummated, except to the extent such losses and expenses ( i) are in a final settlement, non-appealable judgment from a court of competent jurisdiction that has resulted from intentional or serious misconduct or intentional misconduct by Ser Flex, or (ii) is the result of a lawsuit brought by Customer against Ser Flex for bad faith breach of Ser Flex's obligations hereunder or any other Operating Document, if Customer has obtained a final and non-appealable judgment in its favor on such claim from a court of competent jurisdiction.

 

16. Liability
16.1 In no event will Ser Flex be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special or punitive damages, including loss of profits, loss of revenue, loss of data or other damages arising from of your use of the Services, even if we have been advised of the possibility of such damages.
16.2 In the event that Ser Flex fails to perform the Services with reasonable care and skill, it will carry out any and all necessary corrective measures at no additional cost to the Client.
16.3 Ser Flex will not be responsible for any loss or damage suffered by the Client.
16.4 Ser Flex considers that the client has completed their health checks and does not have any medical contraindications to take the classes.
